MEDIMONK Agreement Doctor Subscription
Effective Date: April 2026
Monkshadow Vignyapan Pvt. Ltd, on behalf of itself and its affiliates/group companies under the brand “MEDIMONK”, is the author and publisher of the internet resource www.MEDIMONK.in.
1) About MEDIMONK
Clinic Management System
Systematic management of appointments, flow of patients in out-patient department (OPD) setting, supported by a multi-platform (iPhone, android, windows) mobile web app for doctors registered on the web App ("Doctor" or "You" or "Your") for easy routine management through both online and offline modes.
Electronic Health Records (EHR)
Comprehensive fully template solution that minimizes typing and saves time for the Doctors. EHR that comprises all patient ("Patient" or "Customer") information such as, physical ailments, medical history, previous investigations, and prescribed medicines etc. This improves efficiency and facilitates accurate patient diagnosis and timely treatments.
Billings, Invoices & Receipts
Request & initiate payment processes through online (credit/debit/net banking/e-wallets) payment gateways. Prepare Your bills including or excluding goods and sales tax (GST) (Invoices). Print the Invoices and receipts or simply e-mail Invoices and receipts to the Patients.
Treatment Plans
Facilitates adding new procedures and creating tailor-made templates for each Patient. This ensures Doctor and Patient are on the same page and transparency is maintained throughout the treatment.
Tele Medicine
You can now fix e-appointments and allow Your Patients to consult You directly through call or chat or App from anywhere at a fixed time of engagement just like the regular appointments.
Doctor Mobile / Tablet App
Check and manage appointments, keep a tab on Your Patient's health and recovery update or make changes as and when required. Compatible with android, iPhone and windows phones.
Data analytics
Interactive platform to supplement Doctors in clinical management by providing additional features in understanding Patient health information and drawing concrete conclusions from working data.
Maximize Patient Reach
Save on time and create a dedicated professional network by running SMS/Email campaigns & sending voice reminder calls on a systematic and dedicated method.
Security First
We respect Your privacy and confidentiality. All data is stored in Amazon servers, known to be one of the most secure servers in the world. Your privacy shall be governed by our Privacy Policy.
Reviews & Ratings
Facilitate Doctors to build their goodwill by receiving reviews and rating from their Patients to increase market presence and social standing in the medical society.

Standard Terms and Conditions
Definitions
“medimonk” shall mean, collectively or individually, the software created/ designed by Monkshadow Vignyapan Pvt. Ltd that is provided to the Doctors on a subscription basis for the Purpose, including the Updates.
“Updates & Upgrades” shall mean enhancements, bug fixes, updates and new versions made to medimonk.
License Grant and Access to Software
Subscription to the Doctors
Subject to all limitations and restrictions contained herein, Monkshadow grants to the Doctor a subscription, software as a service ('SaaS'), limited, revocable, non-exclusive, and non-transferable right to access and operate the object code form of the medimonk as hosted by Monkshadow ("medimonk Hosted"). Unauthorised syndication, distribution, or replication of any portion of the software is strictly prohibited.
Implementation and Training
Upon execution of the Agreement, Monkshadow shall initiate the implementation of medimonk services. The subscription period shall be deemed to start from the Commencement Date (the day installation is complete and cloud access is granted). Doctor shall ensure availability of authorized users for necessary training on all modules of Medimonk.
Eligibility and Restrictions
Eligibility
Only persons who can form legally binding contracts under Indian Contract Act, 1872 may access or transact on the Platform. Minors must use the Platform under the prior consent and supervision of a parent or legal guardian.
Limitations
medimonk may be used for the management of one hospital/clinic as specified in the agreement. Remote access for other locations is not permitted without prior authorization.
Data & Sharing
Accuracy and completeness of information uploaded is the sole responsibility of the Doctor. Monkshadow disclaims liability for incorrect data resulting in communication errors to unintended recipients.
Restrictions
Subscribers shall not disassemble, decompile, or reverse engineer medimonk. All proprietary algorithms and object code are protected intellectual property.
Technical Support
Basic support for Medimonk is provided at no additional charge. Support is available between 10 AM to 7 PM IST, Monday through Saturday. Response times are prioritized based on fault severity.
Payments and Cancellation
All payments, including applicable taxes, shall be made in accordance with the agreed financials. Monkshadow acts as a facilitator; all transactions or money collected from Customers are the Doctor's sole liability.
Given the nature of digital content, refunds are not granted unless specifically required under Indian consumer protection laws. Cancellations must be raised within 48 hours of purchase through offline channels.
Legal Protections & Jurisdiction
Indemnification & Disclaimers
USE OF THE PLATFORM IS AT YOUR OWN RISK. Monkshadow makes no representations or warranties regarding merchantability or fitness for a particular purpose. We shall not be liable for any special, incidental, or consequential damages.
Governing Law
Jurisdiction over any disputes arising under this agreement shall be settled under the ICC Rules of Arbitration. The seat and place of arbitration shall be SURAT, GUJARAT. The language of arbitration shall be English.
Entire Agreement
This agreement and its exhibits constitute the entire contract between Monkshadow Vignyapan Pvt. Ltd and the Subscriber. It supersedes all prior proposals, negotiations, and communications. Any modifications are subject to mutual written agreement.
